1. Acceptance of Terms

Welcome to Green Horizons AG. These Terms of Service ("Terms") govern your use of our finance advisory services, evaluation guides, and website located at greenhorizons.world (the "Service") operated by Green Horizons AG ("us", "we", or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service. These Terms constitute a legally binding agreement between you and Green Horizons AG.

4. Professional Advisory Relationship

Our finance advisory services are provided based on the information you provide and general market conditions. While we strive to provide accurate and helpful guidance, you acknowledge that:

• Our advice is based on information available at the time of consultation
• Market conditions and regulations may change affecting our recommendations

We maintain professional standards in accordance with Austrian and EU regulations governing finance advisory services.

5. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Green Horizons AG and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

This includes but is not limited to:

• Evaluation guides and frameworks developed by Green Horizons
• Proprietary methodologies and analytical tools
• Reports, recommendations, and advisory materials

• Training materials and educational content

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of our intellectual property without prior written consent, except as permitted for your internal business use of services you have purchased.

6. Payment Terms

Payment terms for our services will be specified in individual service agreements or invoices. Generally:

• Fees are payable in Euros (EUR) unless otherwise agreed
• Payment is due within 30 days of invoice date unless otherwise specified
• Late payment may result in suspension of services and additional charges
• All fees are exclusive of applicable taxes, which you are responsible for paying
• Refunds are subject to the specific terms of your service agreement

We reserve the right to change our fees and payment terms with reasonable notice. Continued use of our services after fee changes constitutes acceptance of the new fees.

7. Confidentiality

We understand the sensitive nature of financial information and maintain strict confidentiality standards. Both parties agree to:

• Maintain confidentiality of all non-public information shared
• Use confidential information solely for the purpose of providing/receiving services
• Implement appropriate security measures to protect confidential information
• Not disclose confidential information to third parties without consent
• Return or destroy confidential information upon request or termination

This confidentiality obligation survives termination of our business relationship and is subject to exceptions required by law or regulation.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Green Horizons AG, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

Our total liability to you for all claims arising from or related to these Terms or our services shall not exceed the amount paid by you to Green Horizons in the twelve months preceding the event giving rise to liability.

This limitation applies regardless of the legal theory on which the claim is based, whether in contract, tort (including negligence), strict liability, or otherwise, even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you to the extent prohibited by applicable law.

9. Indemnification

You agree to defend, indemnify, and hold harmless Green Horizons AG and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to legal fees), resulting from or arising out of:

• Your use of and access to the Service
• Your violation of any term of these Terms
• Your violation of any third party right, including without limitation any copyright, property, or privacy right
• Any claim that your use of the Service caused damage to a third party

This defence and indemnification obligation will survive these Terms and your use of the Service.

10. Governing Law

These Terms shall be interpreted and governed by the laws of Austria, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of Austria, and the parties hereby consent to personal jurisdiction and venue therein.

If you are a consumer residing in the European Union, you may also bring proceedings in your country of residence, and nothing in these Terms affects your rights as a consumer under applicable consumer protection laws.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

11. Termination

We may terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will cease immediately.

You may terminate your use of our services at any time by providing written notice. Termination does not relieve you of any payment obligations incurred prior to termination.

The following provisions will survive termination:

• Payment obligations for services already provided
• Intellectual property rights and restrictions
• Confidentiality obligations
• Limitation of liability and indemnification
• Governing law and dispute resolution

Upon termination, we will cease providing services but may retain your information as required by law or for legitimate business purposes.

If direct resolution is not possible, disputes shall be resolved through the courts of Austria as specified in the Governing Law section above.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

Material changes may include:

• Changes to limitation of liability or indemnification
• Modifications to payment terms or fee structures
• Changes to intellectual property rights
• Alterations to governing law or dispute resolution

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. The invalid or unenforceable provision will be deemed modified to the extent necessary to make it valid and enforceable.

If such modification is not possible, the provision will be deemed deleted from these Terms, and the validity and enforceability of the remaining provisions will not be affected.

15. Entire Agreement

These Terms constitute the entire agreement between you and Green Horizons AG regarding the use of our services, superseding any prior agreements between you and Green Horizons relating to your use of the Service.

However, specific service agreements may contain additional terms that supplement these Terms. In case of conflict between these Terms and a specific service agreement, the service agreement will take precedence for matters covered therein.

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
